CONSIDERING THAT this committee, by its resolutions numbers CE-2016-279 of April 13, 2016, and CE 2017-73 of February 1, 2017, granted to the firm ERP Connex inc., a contract for the acquisition and implementation of an integrated financial management software package for a total amount of $3,776,315 including taxes, as well as an amount of $2,630,490 for maintenance over a period of 10 years;

CONSIDERING THAT this committee, by its resolution number CE-2021-609, accepted the assignment of this contract to the assignee company Levio conseils inc.;

CONSIDERING THAT the cities of Gatineau, Lévis, and Sherbrooke (hereinafter called "the Cities"), currently use PGI U4 via perpetual "on-premises" type licenses, which means that they are currently hosted and executed locally, on the servers of each of the cities;

CONSIDERING THAT these Cities have grouped together in order to migrate their current solutions to the cloud version "Unit4 ERP CR", which became necessary following the announcement by U4BW of the end of support and updates for the "local" version currently used;

CONSIDERING THAT the Cities had two possible options, either to continue with the "on-premise" solution without support and developments for about five years and in parallel restart a call for tender project for the implementation of a new ERP within five years, or to negotiate a mutual agreement contract to transfer the current PGI U4 to the cloud platform "Unit4 ERP CR" of U4BW with subscription-mode licenses;

CONSIDERING THAT given the circumstances of the current market, the Cities have previously concluded two union contracts, the first to obtain a legal opinion determining the method of awarding the contract to a third party, the second to distribute the roles and responsibilities of each, notably having had the effect of mandating the City of Lévis to manage the negotiation and contract award process, with the goal of obtaining the licenses and allowing migration to a third party, all leading us to this document;

CONSIDERING THAT the legal opinion confirmed the legality of concluding a mutual agreement contract under certain conditions, namely:

  • That the cloud version of the ERP "Unit4 ERP CR" be the same as the "on-premise" version currently used by the cities;
  • That the cities document how the "Unit4 ERP CR" solution is the only one compatible with the ecosystems in place;
  • That Levio has exclusive rights regarding the distribution of "Unit4 ERP CR" licenses as well as regarding the services required for its use;

CONSIDERING THAT the information technology teams of the three Cities have confirmed and documented that "Unit4 ERP CR" is the same solution as U4 currently used as well as the compatibility with all interfaces developed in each of the environments;

CONSIDERING THAT regarding the 3rd condition, in addition to the letters and agreements binding U4BW and Levio stating the exclusivity, we have added the steps of the Call for Interest as well as the Notice of Intent in order to complete the serious and documented study;

CONSIDERING THAT from May 7 to 30, 2025, the City of Lévis published on the SÉAO site the call for interest no. 2025-50-64, in order to find resellers and integrators authorized by the company U4BW, able to resell the required licenses and provide French-speaking professional services, in order to guarantee the success of the cloud migration projects of their integrated management software (ERP). It received two responses, of which only one was positive, complete, and coming from a company able to offer all the requested services. Thus confirming the hypothesis that currently, the cities do not know any other supplier in Canada as well as in the European Union than Levio, our current supplier, who is able to offer the services required for the support and development of the integrated management software "Unit4 ERP CR", while respecting all the qualifications, certifications, and expertise required, for the French-speaking clientele in Canada and the European Union;

CONSIDERING THAT from June 12 to 25, 2025, the City of Lévis published on the SÉAO site the notice of intent no. 2025-50-78 describing the services required as well as the main obligations of Levio considering that it is the only company able to present a bid and execute the contract due to the exclusive rights it holds on the targeted territories;

CONSIDERING THAT the Cities wish to entrust a contract to a third party to notably migrate their PGI U4 solutions to its cloud version "Unit4 ERP CR", as well as transfer all customizations made in the context of the use of perpetual licenses by the Cities, including the update and basic support for the use of this solution, as well as a right to host the data of the Cities in the equipment and infrastructure of the third party;

CONSIDERING THAT in order to ensure stability in the integrated management software used by the Cities, they have previously united under the terms of a union contract, in order to define their roles and responsibilities regarding the awarding of this contract, all in accordance with article 572.1 of the Loi sur les cités et villes;

CONSIDERING THAT the Cities have estimated the expenditure in an adequate and rigorous manner, all in accordance with article 477.4 of the Loi sur les cités et villes;

CONSIDERING THAT in order to ensure stability in the integrated management software used by the Cities and with the goal of preserving their technological assets, they have previously united under the terms of two union contracts, notably in order to define their roles and responsibilities based on their expertise and the availability of their resources, the City of Lévis having been mandated to manage the entire process leading to the conclusion of this contract;

  • Attending that the proposal of Levio Conseils inc., which is that of the only company able to offer these services, is in compliance with the requirements of the call for interest as well as the specifications filed by the Cities;
  • Attending that this contract, with an initial duration of seven years and three months, will begin on September 30, 2025, following its signing by all parties.
  • Attending that the contract is accompanied by a renewal option for a duration of three years;
  • Attending that this contract is at lump-sum, unit, and hourly rate prices;
  • Attending that the prices are fixed until December 31, 2026, and that subsequently, the hourly rates of Levio will be increased by 2.5% per year, while all other tariffs related to U4BW and their subcontractors will be adjusted once per year (increase or decrease), taking into account the annual variation of the CPI for the Quebec region, on September 30 preceding the indexation.
  • Attending that notwithstanding the effective date of the contract, the Cities will have no new license fees to pay before January 1, 2026, at the earliest;
  • Attending that according to the prices already discounted submitted in 2024, the initial estimate of the global amount for the union of the Cities amounted to $15,561,613.00, distributed as follows: $5,014,625 for the City of Lévis, $5,417,321 for the City of Gatineau, and $5,129,667 for the City of Sherbrooke, all before applicable taxes as well as the proposed indexation terms;
  • Attending that at the time of signing the contract, the value of the expenditure to be authorized for the City of Gatineau is in the amount of $4,601,813, while that of the global contract for the three Cities amounts to $11,579,986.00 before applicable taxes and the indexation terms provided for in the contract;
  • Attending that the amounts payable to Levio, by each of the Cities, will be determined according to the contractual documents. Consequently, each of them will have to assume its fair share of the costs that arise from or are related to the purchase of their licenses, their migration, the options chosen, their use of cloud systems, storage, their banks of hours, as well as additional costs, if applicable;
  • Attending that as of June 19, 2025, the contractor to whom the Cities wish to award the contract has an establishment in Canada, its authorization to obtain public contracts, and that the name of the contractor to whom the Cities wish to award the contract does not appear in any register of companies ineligible for public contracts;
  • Attending that the contract cannot be concluded, only conditionally upon the prior obtaining of the resolutions of the executive committee of the City of Gatineau, as well as that of the council of the City of Sherbrooke, authorizing their respective expenditures as well as the conclusion of the contract;
  • Attending that this expenditure, arising from a grouping of purchases, as well as the conclusion of the contract must be authorized by the executive committee of the City:

PROPOSED AND UNANIMOUSLY RESOLVED THAT this committee authorizes the awarding of a contract to the firm Levio Conseils inc., having its office at 1015, avenue Wilfrid-Pelletier, suite 530, Quebec, Quebec, G1W 0C4 for the supply of licenses and professional services related to the cloud migration of the integrated management software (ERP) "Unit 4 Business World", and follow-up of its maintenance for an approximate amount of $4,601,813, before applicable taxes and the annual indexation provided for in the contract for the initial duration of seven years. If the City exercises the option of an additional period of three years for an approximate amount of $1,980,355 before taxes, the total value of the contract will reach approximately $6,582,168 before taxes and before application of the annual indexation provided for.

The treasurer is authorized:

  • To carry out the transfers if necessary in order to follow up on the awarding of the contract;
  • To provide for the necessary sums in the budgets of the years 2026 to 2032 in order to follow up on this document.

CONSIDERING THAT the Master Plan for the cycling network of the City of Gatineau, adopted in December 2018, draws up a list of development and consolidation projects for the cycling network aimed at increasing the attractiveness of collective and active transport modes in its first horizon by 2025;

CONSIDERING THAT as part of this planning exercise, a trail allowing the connection between the Ferme Limbour and Escarpement de Limbour neighborhoods was determined to be necessary for the Gatineau sector;

CONSIDERING THAT the City has undertaken steps to develop a multi-purpose trail on part of lot 2 310 677 of the Quebec Cadastre, Gatineau land registration division, the lot belonging to the Ministry of Transport and Sustainable Mobility;

CONSIDERING THAT discussions with the Ministry of Transport and Sustainable Mobility made it possible to conclude an agreement by mutual consent in the form of a 10-year occupancy permit, granted free of charge to the City of Gatineau on part of lot 2 310 677 of the Quebec Cadastre, Gatineau land registration division, with an area of 899.2 m² which began on March 21, 2022, in accordance with resolution number CM-2022-77 adopted by the municipal council;

CONSIDERING THAT the City has proceeded with a re-evaluation of needs such that a plot of 232 m² has been added in order to connect the trail to rue Saint-Louis, at the intersection of avenue des Grands-Jardins, offering a new configuration that is both more efficient and safer;

CONSIDERING THAT the modification of the ground footprint of the main plot has been re-evaluated in order to avoid environmentally sensitive areas and to include the work to be carried out in certain slopes, in addition to allowing a margin of maneuver in case of unforeseen events;

CONSIDERING THAT the modified agreement which will end on March 20, 2032, considers an occupancy on a total area of 5,734.9 m² distributed over two plots of lot 2 310 677 of the Quebec Cadastre, Gatineau land registration division;

CONSIDERING THAT all concerned municipal services have been consulted and are in favor of this agreement:
